Edison, McDowell & Hetherington represents both plaintiffs and defendants in a broad range of securities and antitrust litigation matters. Our experience is second to none. We have handled cases across the country in myriad industries, including pipeline companies, airlines, power trading, health-care providers, and funeral homes and cemeteries, among others.
Securities Litigation: We represent public companies, boards of directors and individual officers in securities class action lawsuits alleging violations of the Securities Act of 1933 and the Securities Exchange Act of 1934, shareholder derivative lawsuits, and breach of fiduciary duty cases. These matters often include allegations of accounting fraud, insider trading, financial-restatement issues, and the independence of officers, directors and advisors. We also prepare and represent individuals in appearances before grand juries and regulatory agencies.
On behalf of plaintiffs, we have served as lead counsel in numerous class-action securities cases, including matters arising out of proposed merger transactions. We have recently been named as lead counsel in several current, well-publicized matters in which we represent shareholders seeking to remedy breaches of fiduciary duty.
Antitrust Litigation: EMH possesses a great deal of experience in antitrust litigation, representing Fortune 500 corporations and their executives in the defense of claims of alleged antitrust violations.
For example, we are currently representing the world’s largest funeral and cemetery company in antitrust litigation alleging that the country’s three largest funeral home chains and a leading casket manufacturer conspired to keep casket prices high and shut out casket discounters in violation of federal antitrust laws. We also represent one of the largest power marketers in all of its antitrust litigation in California, Montana, Oregon and Washington arising out of the California energy crisis.
